Investment Manager
Interise Investment Managers Limited (formerly LTIDPL IndvIT Services Limited) is the Investment Manager for Interise Trust.
Investment Management Agreement (IMA) has been entered in this regard.
Roles and Responsibilties
The Investment Manager oversees investment decisions, ensuring they align with regulatory guidelines and the trust's strategy, while also managing compliance, disclosures, and grievance resolution for the Interise Trust, ensuring the trust operates efficiently and in the best interests of unit holders and stakeholders.
- Infrastructure and Personnel: Ensure that the Investment Manager has the necessary infrastructure and a qualified team with sufficient experience to always manage the Interise Trust effectively.
- Compliance Officer: Appoint an employee or director as the compliance officer responsible for monitoring compliance with SEBI regulations, guidelines, and circulars related to the trust.
- Investment Decisions: Make investment decisions regarding the underlying assets or projects of the Interise Trust, including decisions on further investments or divestments of assets.
- Compliance with Investment Conditions: Ensure that the investments made by the Interise Trust comply with the investment conditions specified under SEBI regulations and align with the trust's investment strategy.
- Distribution Declarations: Declare distributions to the unit holders by the regulations set forth by SEBI.
- Project Manager Oversight: Oversee the activities of the project manager to ensure compliance with SEBI regulations and the terms of the project management agreement.
- Disclosure and Reporting: Ensure that all disclosures and reporting to unit holders, the board, trustees, and designated stock exchanges comply with SEBI regulations, guidelines, and circulars.
- Grievance Redressal: Address unit holders' grievances related to the activities of the Interise Trust promptly and effectively.
- Trustee Coordination: Collaborate and coordinate with the trustee as necessary to facilitate the smooth operation of the Interise Trust.
- Intermediary Oversight: Ensure that all activities conducted by intermediaries, agents, or service providers appointed by the Investment Manager are in line with SEBI regulations, guidelines, and circulars.

Dr. Ashwin Mahalingam is a Professor in the Building Technology and Construction Management group of the Civil Engineering Department at IIT-Madras. He received his B.Tech in Civil engineering from IIT-Madras and then proceeded to Stanford University for a Master’s in Construction Engineering and Management. He then helped start up an internet-based company in the USA called All Star Fleet, aimed at providing asset management services for construction companies. Following this he returned to Stanford University to pursue a PhD in the area of Infrastructure Project Management. Dr. Ashwin Mahalingam’s research interests are in the areas of Sustainability, Public-Private Partnerships (PPP) in Infrastructure planning and management, the management and governance of large engineering projects and the use of technology in infrastructure development. He is also a co-founder of Okapi Advisory Services Pvt. Ltd and serves as a Director on the Board. He is the Editor of the Engineering Project Organization Journal (EPOJ) and has served on many national committees.
Ms. Neera Saggi

Ms. Neera Saggi has varied experience of over 40 years in leadership positions both in the government and private sector with extensive experience in infrastructure space, with multiple stakeholders including public and multinational agencies, corporates, non-profit and industry associations.
She joined the Indian Administrative Service in 1980; besides area development and export promotion, she was with Jawaharlal Nehru Port Trust (JNPT) and was Development Commissioner for SEZ and EOUs spread throughout the state of Maharashtra, Goa and Diu & Daman. She was also Chairman-Cum-Managing Director of Hindustan Diamond Company Private Limited, a joint venture with De Beers and GOI.
She was Chief Executive Officer, Larsen & Toubro, Seawoods Private Limited. She was elected as the first Lady President of the Bombay Chamber of Commerce and Industry (BCCI) in 177 years in 2013-14. She has been on the Board of various listed and unlisted Companies since September 2014 and is presently on the Board of GE T&D India Limited, Swaraj Engines Limited, Honeywell Automation India
Limited, Mahindra Integrated Business Solutions Private Limited and Everenviro Resource Management Private Limited. Till recently she was also the Chairperson of the non-profit, CARE India.
Mr. Sanjay Ubale

Mr. Sanjay Ganesh Ubale, Independent Director, has varied experience of over 30 years in leadership positions in government, private and not-for-profit sectors. He belonged to the Indian Administrative Service and has vast experience in the areas of Infrastructure, Real estate, Urban management, Social and Economic Development, Governance and Public Policy.
Mr. Ubale completed his Master’s degree in Management (MMS) from Jamnalal Bajaj Institute of Management Studies. He also holds a master’s degree in development studies from the University of Bath, UK. Mr. Ubale is an alumnus of Harvard Business School having done his Advanced Management Program.
He was Secretary, the Government of Maharashtra and later, the Managing Director, of Tata Reality and Infrastructure Limited. He headed the Infrastructure and Urban Solutions vertical for the Tata Group. He also served as the Director at the Bill & Melinda Gates Foundation, New Delhi.
Mr. Ubale is currently a board member at Noida International Airport. He has been a director since March 29, 2023.
Mr. Ravindran Shunmugakani

Mr. Ravindran Shunmugakani, Independent Director, has varied experience of over 36 years in Securities Market Development, Regulations, Corporate Finance, Taxation and Accounts. He was executive Director and headed major departments relating to corporate finance, foreign institution investors and custodians and implemented policy measures relating to securities and market participants including mutual funds, risk management, and corporate restructuring. He was an Advisor to the Central Bank of Bahrain (on deputation from SEBI) and implemented Bahrain’s Securities Market Regulatory Framework and enabled Bahrain to enter a Multilateral MOU with IOSCO. He set up a surveillance department, handled major market manipulation cases, acted as SEBI Nominee on the governing board of stock exchanges, and implemented Accounting Standards through Listing Requirements. He worked as an Internal Auditor and functioned as CFO of subsidiary companies of Shaw Wallace and Sesa Goa. Mr. Ravindran is a graduate of Commerce and is a Chartered Accountant from the Institute of Chartered Accountants of India. He is also a Cost Accountant from the Institute of Cost Accountants of India. He is currently a board member at the National Stock Exchange of India Limited.
Ms. Monisha Macedo

Ms. Monisha Macedo, Independent Director, is a Company Secretary from the Institute of Company Secretaries of India (FCS) and an Insolvency Professional and Partner of an Insolvency Professional Entity, recognised by the Insolvency & Bankruptcy Board of India. She also holds a BA (Hons) in Economics, from St. Stephens College, Delhi University. She has over two decades of experience in the infrastructure sector. She has been a whole-time director running operations at Noida Toll Bridge Company, a listed entity which pioneered India’s first privately funded, public-private partnership toll road project in India. She is currently an Independent Consultant in the field of infrastructure, corporate governance, compliance and insolvency. She has experience in toll road operations as well as corporate laws/ statutory regulations applicable to listed companies, corporate governance and compliance.
Ms. Samyuktha Surendran

Samyuktha Surendran has served in many leadership roles in the Technology and Telecom Industries. She currently serves as Senior Vice President at Airtel Business, the B2B arm of Bharti Airtel. In her current role she heads the business across South India overseeing all aspects of business growth. Prior to this she was a Director at Oracle(India).
She has also served on the Boards of several companies in the Infrastructure sector – among them Larsen and Toubro IDPL’s SPVs. She is also passionate about fostering diversity within organizations and has brought about organization policy change to increase women participation within the workforce, and has served as the POSH committee member in multiple organizations.
She is an alumnus of the College of Engineering, Guindy and the Indian Institute of Management, Ahmedabad.
Mr. Sudhakar Mallya

Mr. Sudhakar Mallya is a Chartered Accountant (CA) and Chartered Financial Analyst (CFA) by qualification and holds a Bachelor of Commerce from St. Aloysius College, Mangalore.
Mr. Sudhakar has 15 years of experience in finance, including 12 years of infrastructure M&A experience. Mr. Sudhakar has been with CPPIB for over 6 years and played a key role in CPPIB’s India Infrastructure Strategy. Since CPPIB’s early years in Indian Infrastructure, he has played a key role in almost all CPPIB’s transactions in India – including L & T Infrastructure Development Projects Limited (L&T IDPL), IndInfravit Trust, NHAI InvIT and PGCIL InvIT. Mr. Sudhakar has also worked closely with the regulators and internal CPPIB teams (Legal, PAC and Tax) in shaping the InvIT regulations in India and taxation-related aspects, including the PF tax exemption.
Before joining CPPIB, Mr. Sudhakar was part of the Deal Advisory team of KPMG, where he advised several international and domestic investors on their infrastructure strategy and evaluation of Infrastructure investments in India. During his tenure at KPMG, he worked on several marquee transactions in the sector. Prior to KPMG, Mr. Sudhakar was at Grant Thornton in the Audit and Assurance team, where he worked with companies in various sectors, including manufacturing, hospitality, and information technology, both in the listed and unlisted space.
Mr. Harmish Rokadia

Mr. Harmish Rokadia has completed the MBA from the IIM, Calcutta and holds a BE from the University of Mumbai. He has overall 16 years of experience. He is a Director of OMERS Infrastructure, Asia Pacific region.
He is Infrastructure Lead for Asia at OMERS, responsible for origination, execution and management of infrastructure investments across Asia. He joined OMERS in April 2022 and is based in Singapore.
Prior to joining OMERS, Harmish worked for over 10 years at the International Finance Corporation (IFC), in India and in Singapore, focusing on infrastructure investments across emerging Asia in digital infrastructure, renewable energy and transportation sub-sectors. Prior to that, he was associated with ING in India.

Ms. Anjali Gupta representing AGF BENELUX S.A.R.L. has done her MBA from IIM Ahmedabad in 1993 and has more than 30 years of experience in the financial services sector. She has worked in equity and debt capital markets, project appraisal, restructuring and M&A in various organisations like SBI Capital Markets Ltd., KPMG, Asset Reconstruction Company of India Ltd (ARCIL) and ICICI Bank. While she has worked across diverse sectors she has specialized in infrastructure since last 18 years. She is also Partner and Managing Director of the India Infrastructure Fund set up by 3i Group, a large global private equity and infrastructure fund headquartered in London.

Currently, as the CEO of Interise Investment Managers Ltd (Investment Manager for Interise Trust), he is responsible for the strategic direction and overall growth of the assets under the Trust’s portfolio.
