Interise Trust successfully completes issuance and allotment of 2,07,482 non-convertible debentures (NCDs) aggregating to ₹2,074.82 crores on a private placement basis.

Mumbai, October 16, 2025: Interise Trust has successfully completed issuance and allotment of 2,07,482 non-convertible debentures (NCDs) with a face value of ₹1 lakh each, aggregating to ₹2,074.82 crores on a private placement basis on October 16, 2025.
The NCDs have been issued in two series aggregating to ₹2,074.82 crores as under:
• Series I aggregating to ₹1,050 crores bearing coupon of 6.96% and an amortising schedule up to 31st March, 2045 with a put / call option at the end of 3 years;
• Series II aggregating to ₹1,024.82 crores bearing coupon of 7.30% and an amortising schedule up to 31st March, 2045 with a put / call option at the end of 10 years.
The issue was subscribed with marquee investors involving banks, financial institutions and a leading asset management company. The proceeds from this issue will be used to repay the existing indebtedness. Following this transaction, fixed rate non-convertible debentures will constitute ~38% of Interise InvIT’s obligations.
The subject issuance was rated a AAA / Stable by ICRA Limited and India Ratings & Research Private Limited.
Trilegal and Saraf and Partners were the legal advisors for the issuance. Axis Trustee Services Limited acted as the debenture trustee and IDBI Trustee acted as the InvIT Trustee. The NCDs will be listed in the wholesale debt market segment of BSE Limited.
